Terms & Conditions
These Terms govern enquiries, quotations, supply of pharmaceutical and healthcare products, and related distribution services provided by VEENA AGENCIES ("we" / "us"). By placing an enquiry or order you agree to these Terms.
1. Scope
Applies to all B2B customers including pharmacies, hospitals, clinics, and authorised resellers within our serviced regions.
2. Quotations & Validity
- Prices are indicative until confirmed in writing (WhatsApp / email / invoice).
- Due to dynamic market and manufacturer pricing, quotations typically remain valid for 7 calendar days unless otherwise stated.
- Availability may change without prior notice.
3. Ordering Process
- Customer submits enquiry specifying product name, strength, pack size, and quantity.
- We confirm price, availability, and estimated dispatch schedule.
- Order is logged after explicit acceptance of quotation and (where applicable) advance payment confirmation.
4. Pricing & Taxes
Prices are exclusive of GST and statutory levies unless expressly stated. Any government duties, local levies, or surcharges are payable by the customer.
5. Payment Terms
- Accepted modes: UPI, bank transfer (NEFT/RTGS), cheque (subject to clearance), and approved credit terms.
- Credit is at our sole discretion and may be withdrawn based on payment performance.
- Delayed payments may attract interest at commercially reasonable prevailing rates.
6. Delivery & Risk
- Risk transfers on handover to customer or their appointed logistics agent.
- Delivery timeframes are estimates; delays from transport strikes, regulatory holds, or manufacturer backorders are not our liability.
- Cold‑chain / temperature‑sensitive items require immediate proper storage upon receipt.
7. Inspection & Claims
Discrepancies or damages must be reported within 24 hours of receipt with photographic evidence and batch / invoice references.
8. Returns
- No return accepted without prior written authorisation.
- Temperature‑controlled or near‑expiry goods are non‑returnable except for proven dispatch error.
- Manufacturer recall procedures will be followed where applicable.
9. Regulatory Compliance
Customer warrants possession of all required licenses (drug retail / wholesale etc.) and agrees to maintain records mandated by applicable laws. We may decline supply if compliance documents are not furnished on request.
10. Limitation of Liability
Our aggregate liability for any claim is limited to the invoice value of the specific goods giving rise to the claim. We are not liable for loss of profit, opportunity, or consequential damages.
11. Force Majeure
We are not liable for performance failures due to events beyond reasonable control including acts of government, pandemics, transport disruption, or supply shortages.
12. Product Information
Information provided (including indications or storage guidance) is for distribution handling context only and not a substitute for professional medical judgment.
13. Anti‑Diversion & Ethical Use
Customer agrees not to resell outside authorised channels or tamper with packaging / batch labels.
14. Communication Channels
Official confirmations are considered valid when sent from our published email domain or verified WhatsApp number.
15. Amendments
We may update these Terms; revised versions apply to future quotations/orders. The revision date will reflect the latest update.
16. Governing Law & Jurisdiction
Governed by the laws of India. Courts of New Delhi have exclusive jurisdiction.
